Title: Introduction
Zunuzi owns and operates www.zunuzi.com and any associated applications operated by Zunuzi and/or that contain graphics, photos, images, audio, video, software, or other content or materials (collectively “Site”). These Terms and Conditions constitute a legally binding agreement (the “Agreement”) between you and zunuzi.com governing your use of the zunuzi.com website (“Website”). Please read these Zunuzi Terms and Conditions (the “Terms and Conditions” or “Terms”) carefully before using or continuing to use the Website. Do not agree to the Terms and Conditions unless you fully understand and accept each provision. These Terms constitute an integral part of the agreement between you (the “User”) and the owner of zunuzi.com (the “Company”). By accessing and using this website, or by registering with zunuzi.com, you represent and warrant that you understand and agree to, and accept all terms and conditions contained in these Terms.
You may be referred to in these Zunuzi Terms as “you”, “your” or “User(s)”, or may be referred to specifically in your application role as an Authorized User (as shown in the definitions below), for instance, as a Tutor or Student. If you are accessing zunuzi.com on behalf of your children, from an Educational Institution, a company or a legal entity, these Zunuzi Terms shall be a binding agreement between Zunuzi and the User that you represent. If you do not have such authority, or if you do not agree with these Zunuzi Terms, you may not use the services. If you are entering into these Zunuzi Terms as a Student or an Adult Learner and not on behalf of a certain legal entity, these Terms are a contract between you and Zunuzi personally. Meaning that you have to acknowledge that these Terms is a contract between you and Zunuzi, even though it is electronic and is not physically signed, it governs your use of services on this platform.
As a condition of your use of this website, you represent and warrant to Zunuzi that you will not use this website for any purpose that is unlawful, immoral or prohibited by these Terms and Conditions available at https://zunuzi.com/terms-of-use. If you do not agree and accept without modification these Terms and Conditions, do not use this Website.
This Agreement shall constitute an entire agreement and understanding between you and Zunuzi, in relation to the Tutoring services it provides. Zunuzi shall not be deemed to have entered into any other agreement with you or otherwise be obligated to you through your use of this website, and no attempt to create such an agreement or obligation will be effective. Each party acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party or by anyone acting on behalf of any party, which are not embodied in this agreement and that any agreement, statement or promise that is not contained in this Agreement shall not be valid or binding or of any force or effect.
You should also read our Privacy Policy (“Privacy Policy”) which also applies to your use of the Website. The terms of the Privacy Policy are incorporated by reference into this Agreement. If you do not accept and agree to be bound by these Terms and Conditions, including our Privacy Policy, do not use the Site or the products and services offered on the Site. By accepting our Terms and Conditions, you represent that you have read and understood our Privacy Policy, which is available at https://zunuzi.com/zunuzi-privacy-policy.
Title: Definitions
The following terms, wherever used in this Agreement, shall have the respective meaning set forth below, unless contrary appears from the context:
“Zunuzi” may be referred to as “we”, “us”, or “our”, this includes all representatives of the Company.
“Member” means Users that have accessed and registered a profile account on Zunuzi. The term “Member” is also referred to as “Licensee”, wherever applicable.
“Member Content” means any content including Tutor’s profile, certificate, degrees, portfolio, videos, and graphics posted, uploaded, published, submitted, stored or transmitted by Members on the Site.
“Services” means the Tutoring Services or any other services offered or provided on/through our Website.
“Social Media Platform” shall include but is not limited to Facebook, Twitter, YouTube, Google Search Results, Instagram, LinkedIn.
“Software” means any software developed, hosted, or otherwise made available to the Members by Zunuzi for use subject to Zunuzi Terms.
“Student” means a member that purchases Tutor Services. For the avoidance of doubt, the child’s Parent/Guardian that applied on their behalf, the Adult Learner, the Students that are authorized by their Educational Institution, and the Employees that are authorized by the Companies & Corporation shall be considered as a Student.
“Global Marketing Campaigns” means Zunuzi’s campaign through which the Tutor’s Profile is promoted through Social Media Platform for marketing, advertising and other promotional activities.
“Intellectual Property” means, unless otherwise context requires, any proprietary information of Zunuzi including but not limited to trademarks, proprietary logos, copyright, trade secrets.
“Payment Services” means certain payment process services offered by Zunuzi, which includes but is not limited to Credit purchase, payment tools and other services in accordance with Zunuzi Payment Policy.
“Tutor” means a member that offers and delivers Tutoring Services.
“Tutor Service” or “Tutoring Services” means services delivered by Tutors as described in the Tutor Policy (“Tutor Policy”), which includes but is not limited to paid lessons, and other services rendered where Zunuzi Credits (as defined in Payment Policy) are exchanged.
“Website” or “Site” means Zunuzi’s websites, including www.zunuzi.com
“Zunuzi Article” or “Article” means any articles posted by Members on Zunuzi.
“Zunuzi Content” means any site content which includes, but is not limited to, visual interfaces, interactive features, graphics, design, our compilation of Member Content, computer code, products, software, aggregate Member review ratings, and all other elements and components of the Zunuzi Platform excluding Member Content.
“Zunuzi Services” means the Tutoring Services, Payment Services, Business Services, or any other services otherwise availed on the Zunuzi Platform.
“Escrow System” means the Zunuzi Credits payment method used on Zunuzi. It helps protect Students’ and Tutor’s Credits (money) safely and securely.
“Credits” means the money exchanged between the Tutors’ and Students’.
Title: Relationship & Scope Of The Platform
The Zunuzi Site is an online venue for Tutoring Services where a user registers and may use our Tutoring Services and Payment Services to directly interact by becoming a student or a Tutor. You understand and agree that Zunuzi is not a party to any agreement entered between Students and Tutors or between Members, nor is Zunuzi a broker or agent. Zunuzi holds no responsibility on the conduct of the Students, Tutors, Members or other users of the Website or over any services provided by Tutors on the Site, and disclaims all liability in this regard to the maximum extent permitted by law.
By accepting this Agreement, you understand and accept that Zunuzi is a neutral third-party online platform that connects Users, with Users’ requests to obtain Tutoring Services, and other educational products and services including but not limited to audio, video, text, and document collaboration technology.
In all cases of use of this Website, Users are acting on their own behalf, as independent contractors and not as Zunuzi’s or any other party’s employee, agent, joint venturer, franchisee or servant.
Title: Eligibility
The Zunuzi Site is available only to, and may only be used by, individuals who are 18 years and older, (or age of majority to enter into a valid contract as per the applicable country’s law) capable of entering into valid contracts.
Although we have good faith to confirm that each Tutor accessing Zunuzi is professional, we hold no liability to provide assurances regarding the character, qualities, and accuracy of information that the Tutor provides on this Site. Zunuzi and its affiliates and licensors will not be liable for any claims, injury or damage arising in connection with your usage of this Platform, every Member when interacting with other Members should exercise caution to protect your personal safety and property.
Title: Description of Service
Zunuzi, directly or indirectly, provides the following services (“Services”) to Users, through Zunuzi’s platform:
- Tutoring Services. Zunuzi Provides members with access to use the Website, which is an online venue where (a) Tutors can upload their area of specialty description onto their profile; (b) Tutors can provide Tutoring Services of all kinds including but not limited to Foreign Language studies, Elementary School subjects, and University subjects. (c) Students, Adult Learners, Parents, Companies and Corporations, and Educational Institutions can use Zunuzi to find Tutors that best fits their requirements and availability to help deliver instant learning environments. (d) Students can connect and engage with their chosen Tutors. (e) Once you become a Tutor on the Zunuzi Platform, you are agreeing to the Zunuzi Tutor Policy (“Tutor Policy”). For the avoidance of doubt, in providing Tutoring Services, Zunuzi only provides the venue for Members, including Students and Tutors, Zunuzi does not take part in direct interactions between Members.
- Payment Services. For Tutors and Students, Zunuzi also provides certain payment processing services, Credit purchase and payment tools, dispute resolution procedures and assistance, and other services in accordance with Zunuzi Payment Policy (“Payment Policy”). Payment Services do not include Tutoring Services. By accessing this Site, you will need to pay any applicable fees, as and when required, when using Zunuzi’s Services.
- Business Services. If you are a Company or Corporation, or such Member that authorizes additional individuals and/or their employees to use the Zunuzi Website, including but not limited to the Tutoring Services and Payment Services. The Company or Corporation can (a) access employees’ completed lessons; (b) add or remove any employees from accessing the Zunuzi Platform; (c) Control, monitor or refill their Zunuzi Credits (“Zunuzi Credits”) balance through the Company’s or Corporation’s Zunuzi Account. For the avoidance of doubt, an employee that is authorized by their Company shall be considered as a “Student”.
Title: Account Registration
To access or to provide Tutoring Services delivered on or through the Site, you must register on the Site, pay any applicable fees, and create an account, username and password. To register on our website, you can use the “Sign Up” option on the top right of the page and choose whatever role that is respective to you, which may include Student, Parent, Adult Learner, Company & Corporation, Educational Institution or a Tutor. After account registration, you must confirm your email address by clicking on the activation link sent to you on your email address. Once your account has been confirmed, you will be redirected to the Website and Profile Page, where you have to fill in all required fields. Following Account Registration, Zunuzi provides you access to search for Tutors and book sessions, or as a Tutor you will be able to offer Tutoring Services on the Website.
Your Zunuzi Account is for personal, non-commercial use only, provided that, if you are creating a Zunuzi Account on behalf of a company or Corporation or an Educational Institution, you may authorize their employees and Students to use the Zunuzi Platform. In order to create a Zunuzi Account, you must be eligible to use the Platform for which you are registering (as provided in “Eligibility” section), be a resident of a country where use of the Zunuzi Platform is permitted, have a valid email address, have a valid mobile phone number (if applicable) and provide truthful and accurate information. You may not use a false email address or other identifying information, to impersonate any person or entity. Any improper collection or misuse of Personal Information is in violation of these Terms. You may choose to show a pseudonym to other Members, but please remember that others may still be able to identify you if, for example, you include identifying information during your time accessing the Zunuzi Website.
By accepting these Terms, you are understanding that you shall be responsible for ensuring that any username you select does not infringe any third-party rights and is not otherwise unlawful. Zunuzi has the right to refuse to grant you a username under our sole discretion for any reason including if the proposed username impersonates or misleadingly implies an association with the persona of another person or entity, is or may be illegal, is or may be protected by trademark or other proprietary rights, is vulgar or otherwise offensive, causes confusion, or for any other reason as determined by Zunuzi’s sole discretion. You have the right and hold responsibility for maintaining the confidentiality of your username and password and all access to and use of your Zunuzi Account, including any and all activities that are conducted through the use of your username and password whether or not authorized by you. Your Zunuzi Account may be suspended or terminated if your Account is used to engage in any activity that violates these Terms and Conditions. In cases where you have authorized or registered another individual, including a minor, to use your account, you are fully responsible for (a) the online conduct of such a user; (b) controlling the user’s access to and use of the products and services; and (c) the consequences of any misuse. In the event that you permit a minor to use your account, we reserve the right to provide access to your account and all information contained therein to such minor’s parents, guardians or other authorized adults, including, but not limited to, authorized school representatives. You may not use any means to circumvent our access, registration, or payment systems.
You may not have more than one active Zunuzi Account. You agree to provide accurate, current and complete information during the registration process and to update such information, from time to time, to keep it accurate, current and complete. Zunuzi reserves the right to suspend or terminate your Zunuzi Account and your access to the Zunuzi Platform if you create more than one Account, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, incomplete, or otherwise in violation of these Zunuzi Terms.
We reserve the right to suspend or terminate your Zunuzi Account at any time if you violate these Zunuzi Terms or if we otherwise have a legitimate interest to do so, such as complying with a legal or regulatory obligation.
- a) Third-Party Account:
You can also register to become a member by logging into your Account with certain third-party social networking sites (“SNS'') including, but not limited to, Facebook (each such account is a “Third-Party Account''), through our Sites. Unless you add your email, address or phone number and set up a password for such account, if a Third-Party Account or associated Service becomes unavailable or Zunuzi’s access to such Third-Party Account is terminated by you or a Third-Party service provider, then you shall no longer be able to log into the Zunuzi Platform through such Third-Party Account.
- b) Link your Zunuzi Account with Third-Party Account:
You may link your Zunuzi Account with Third-Party Accounts, by either: (a) providing your Third-Party Account login information to Zunuzi through our Website; or (b) allowing Zunuzi to access your Third-Party Account, as permitted under the application terms and conditions that govern your use of such Third-Party Account. By linking any such Third-Party Account, You represent that you are entitled to disclose your Third-Party Account login information to us and/or grant Zunuzi access to it, including, but not limited to, for use by Zunuzi for the purposes described in these Terms. By granting Zunuzi access to any Third-Party Accounts, you understand that Zunuzi will access, make available and store (if applicable) any content that you have provided to and stored in your Third-Party Account (“SNS Content”) so that it is available on and through the Zunuzi Platform via your Account and Account Profile page. Unless otherwise specified in these Zunuzi Terms, all SNS Content, if any, will be considered to be Member Content for all purposes of these Terms. For the avoidance of doubt, you have the ability to disable the connection between your Zunuzi Account and your Third-Party Accounts at any time by either removing the access using such Third-Party Platform or through the option provided on your account page on Zunuzi. If you disable the connection between your Zunuzi Account and your Third-Party Account, then SNS Content from that Third-Party Account will no longer be available on and through the Zunuzi Website, and you will no longer be able to access your Account through the Third-Party Account.
- c) Link to a Company & Corporation
If you are an employee of a Company, during the registration process, you may identify a Company with whom your profile and Zunuzi Account is associated. Alternatively, your individual profile may have been created by an authorized representative of a Company, and your profile and Zunuzi Account will be associated with such a Company. If your Zunuzi Credits, Tutor Services and Payment Services are provided or scheduled by a Company, you may lose access to such Zunuzi Credits, Tutor Services and Payment Services upon termination or change in status of your relationship with such Company. If you are an authorized representative of an entity receiving the Services, you hereby warrant and represent to us that (a) you have the proper authority to create, terminate and maintain the company account and to add and remove individual members to and from the account and (b) you have obtained all necessary consent from any applicable individuals for the creation of their accounts and the processing of individual information. You agree to indemnify us for any loss we may suffer as a result of any breach of these warranties and representations.
Title: Intellectual Property (Ownership of the Website)
All content made available through Zunuzi Website is either owned by Zunuzi or Zunuzi’s Licensors, or is licensed to Zunuzi and Zunuzi’s Licensors through our Member Content or Global Marketing Campaign. You retain ownership rights in any of your Member Content. We retain ownership of and have exclusive right over site content, which includes but is not limited to, visual interfaces, interactive features, graphics, design, our compilation of Member Content, computer code, products, software, aggregate Member review ratings, and all other elements and components of the Zunuzi Platform excluding Member Content (“Zunuzi Content”). As between you and Zunuzi, we also own copyrights, trademarks, service marks, trade name, and other intellectual property rights throughout the world associated with Zunuzi Content and the Platform, which are protected by copyright, trade dress, patent, trademark laws, and all other applicable intellectual and proprietary rights and laws. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights in and to the Zunuzi Platform and the Zunuzi Content, and all rights therein are retained by Zunuzi.
Trademarks:
Any trademarks, trade names, graphics, pages, scripts, service marks, and logos (collectively, the “Trademarks”) used and displayed on this website are the registered or unregistered trademarks of, and the exclusive property of Zunuzi, and/or its affiliates or others and are protected under copyright law and other laws that protect intellectual property in Canada and other countries. Nothing on this website or in these terms and conditions of use should be construed or interpreted as granting or creating, by implication or otherwise, any license to use or duplicate any Trademark without the prior written consent of Zunuzi, or the applicable owner.
The name “Zunuzi” and logo or other formatives or derivatives thereof may not be used in any way, including in advertising or publicity pertaining to the distribution of materials on this website without the prior written consent of Zunuzi. The use of the Zunuzi logo as part of a link to or from any site is prohibited unless the establishment of such a link is approved in advance by Zunuzi in writing. Other products or entity names mentioned in this website may be the trademarks of their respective owners.
Grant of License:
You are granted a non-exclusive, revocable, and limited license to access and use this Site and Zunuzi Content in accordance with these Terms and Conditions. No additional rights are granted to you by implication, estoppel or otherwise. This license does not include any resale or commercial use of this Site or its contents; any collection and use of any services, descriptions, or prices; any derivative use of this Site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
We reserve the right to suspend or deny, at our sole discretion, your access to all or any portion of the Zunuzi Platform. This License is personal to the Licensee, except as otherwise provided in the Zunuzi Terms and the License may not be assigned, transferred or sublicensed to any other person or accessed and used for purposes other than as described in this Agreement.
Title: Software Licensing Agreement
BY INSTALLING OR USING THE ZUNUZI’S SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU REPRESENT AND WARRANT THAT THE PERSON ACCEPTING THIS AGREEMENT HAS FULL POWER AND AUTHORITY TO DO SO ON BEHALF OF LICENSEE.
IF YOU DO NOT AGREE WITH ANY OF THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
- Grant of License
Subject to your compliance with the terms and conditions of this Agreement, Zunuzi grants you a non-exclusive, non-transferable right to use the executable code version of the Software for your use solely in connection with work, which includes Tutoring Services, you perform on or through the Site.
- Limitations of Use
Notwithstanding the licenses granted to the Users, Users shall not itself, through other Users, or through any affiliate, employee, consultant, contractor, agent or other third party:
(a) sell, resell, distribute, lease, rent, or license, in whole or in part, the Software;
(b) decipher, decompile, disassemble, reverse assemble, modify, translate, reverse engineer or otherwise attempt to derive source code, algorithms, tags, specifications, architectures, structures or other elements of the Software in whole or in part, for any purpose;
(c) allow access, provide, divulge or make available the Software or the documentation to any person other than the User itself;
(d) write or develop any derivative works based upon the Software, the documentation or any other proprietary information;
(e) modify, adapt, translate or otherwise make any changes to the Software or any part thereof;
(f) otherwise use or copy the Software except as expressly permitted herein;
(g) remove, alter or obscure any intellectual property, proprietary, attribution, or legal notices from the Software or the documentation;
(h) use any name, or designation of Zunuzi, any of its affiliates or licensors or their respective services, unless expressly permitted herein or by Zunuzi in writing.
- Ownership
The Software is licensed, not sold, to you for use pursuant to this Terms and Conditions. All rights not expressly granted in this Agreement are reserved by Zunuzi. Zunuzi retains sole and exclusive ownership of the Software, accompanying documentation, and all other associated intellectual property including, but not limited to the technology, inventions, know-how, show-how, designs, formulae, processes, techniques, trade secrets, ideas, artwork, software, works of authorship, and any document or other materials embodying any of the foregoing, whether or not any of the same are patentable or copyrightable, and related documentation (collectively, the “Software IP”). Zunuzi retains all intellectual property rights in, to and/or embodied in or associated with the Software IP provided by Zunuzi hereunder, and all copies and derivative works thereof, including, but not limited to patent rights (including patent applications and invention disclosures), copyrights, rights in database, moral rights, trademarks, service marks, trade secrets, know-how and any other intellectual property rights recognized in any country or jurisdiction in the world, now or hereafter existing, and whether or not perfected, filed or recorded.
- Disclaimer
Zunuzi licenses, and Licensee accepts, the licensed Software "AS IS." ZUNUZI PROVIDES NO WARRANTIES AS TO THE FUNCTION OR USE OF THE LICENSED SOFTWARE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE LICENSED SOFTWARE IS WITH LICENSEE. ZUNUZI DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE LICENSED SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR THAT THE OPERATION OF THE LICENSED SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.
IN CASE OF ANY UNAUTHORIZED ACCESS TO OR MISAPPROPRIATION OF YOUR PERSONAL INFORMATION OR PRIVATE COMMUNICATION BY THIRD PARTIES, ZUNUZI DISCLAIMS LIABILITY. THIS IS DONE TO THE FULLEST EXTENT PERMITTED BY LAW.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZUNUZI OR ITS AFFILIATES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ON ACCOUNT OF USER’S USE OR MISUSE OF THE SOFTWARE (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) HOWEVER CAUSED AND ON ANY LEGAL OR EQUITABLE THEORY OF LIABILITY, AND WHETHER OR NOT FOR BREACH OF CONTRACT, NEGLIGENCE OR OTHERWISE, EVEN IF ZUNUZI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS WILL APPLY NOTWITHSTANDING ANY BREACH OF CONDITION(S) OR FUNDAMENTAL TERM(S) OR FOR A FUNDAMENTAL BREACH (S). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE SOFTWARE, FROM THE PERFORMANCE OR MISPERFORMANCE OF THE SOFTWARE, FROM INABILITY TO USE THE SOFTWARE, OR FROM THE INTERRUPTION, SUSPENSION OR TERMINATION OF THE SOFTWARE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
EXCEPT AS LIMITED BY THE APPLICABLE LAW, REGARDLESS OF THE BASIS OF USER'S CLAIM, ZUNUZI’S, LICENSORS' AND THIRD PARTY PROVIDERS' TOTAL LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO DIRECT DAMAGES WHICH SHALL NOT EXCEED THE AMOUNT OF DAMAGES RECOVERABLE AGAINST THE LIABLE PARTY WITH RESPECT TO ANY BREACH, PERFORMANCE, NONPERFORMANCE, ACT OR OMISSION HEREUNDER WILL NOT EXCEED THE AMOUNT OF FEES PAID FOR THE LICENSED SOFTWARE GIVING RISE TO SUCH A CLAIM OR HUNDRED CANADIAN DOLLAR (100.00 CAD). WHICHEVER IS LESS.
Title: Member Content
Zunuzi’s members may post, upload, publish, submit, store or transmit your Member Content. By making the Member Content available, on or through the Zunuzi Platform, you hereby grant to Zunuzi a worldwide, irrevocable, perpetual (or for the term of the protection), non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit or use as per our Global Marketing Campaign such Member Content on, through, by means of, or to promote or market the Zunuzi Platform. However, Zunuzi does not claim any ownership rights in any Member Content.
You acknowledge and agree that you are solely responsible for all Member Content that you make available through the Zunuzi Platform. Accordingly, you represent and warrant that (a) you either are the sole and exclusive owner of all Member Content that you make available through the Zunuzi Website or through Zunuzi promotional campaigns, or you have all rights, licenses, consents and releases that are necessary to grant to Zunuzi the rights in such Member Content, as contemplated under these Zunuzi Terms; and (b) neither your Member Content nor your posting, uploading, publication, submission or transmittal of your Member Content or Zunuzi’s use of your Member Content (or any portion thereof) on, through or by means of the Zunuzi Platform or Zunuzi promotional campaigns will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or will result in the violation of any applicable law or regulation.
If you are a registered Tutor on the Zunuzi Platform, you have the right to share and distribute your Member Content with your Students.
Zunuzi respects copyright law and expects its members to do the same. Zunuzi is not liable for any instances where the Tutor uses, publishes, and/or distributes teaching material, curriculum or content that they do not possess the copyright license for. It is the responsibility of the Tutor to create and generate new academic curriculum for their students. Tutors on the Zunuzi Website are responsible for complying with these Terms and Conditions, including the Copyright Act of Canada and other applicable law, whereby, it is permitted for Tutors to use copyrighted teaching material, curriculum or content as long as they have first acquired permission from the Copyright holder. If you believe that any content on the Zunuzi Platform infringes copyrights you own, please notify us in accordance with our Copyright Policy (“Copyright Policy”).
Monitoring Member Content:
Zunuzi may, but has no obligation to, monitor or review any Member Content. Zunuzi reserves the right to remove or disable access to any Member Content for any or no reason. Zunuzi may take these actions without notification to you.
Title: Global Marketing Campaign
Zunuzi’s Global Marketing Campaign (“Campaign”) is designed and executed to promote our Tutor’s profile and videos on our social media platforms (Facebook, YouTube, Instagram) and other platforms, such as Google Search Results. Our Global Marketing Campaign is our effort to help you connect with even more students around the globe, build initial trust and relationships, and show your knowledge and capabilities.
By uploading any videos to Zunuzi, you consent to enrol in our Global Marketing Campaign and represent that you have also read our Terms and Conditions, and authorise Zunuzi to use your Member Content in the Campaign.
Tutors grant Zunuzi the rights to use Tutor’s name, profile picture, videos, skills, education degree, and certificates (collectively “Tutor’s Profile”), for marketing, advertising or promotional purposes. Zunuzi may publish Tutor’s Profile to our official channels in third-party social media advertising systems, video hosting and streaming services, such as YouTube, LinkedIn, Facebook, Instagram, Vimeo or others, as to ensure accessibility and visibility to Zunuzi Students regardless of location.
You may always request to opt out of our Campaign and request removal of any or all part of Tutor’s Profile published on our official channels in third-party social media, video hosting and streaming services by writing to This email address is being protected from spambots. You need JavaScript enabled to view it.
Title: Restriction
The Website is made available to Users for User’s lawful, personal or professional use only. Users may use the Website only in the manner described expressly in this Terms and subject to all applicable laws. Using the Website for any other purpose or in any other manner is strictly prohibited.
We are under no obligation to enforce the Zunuzi Terms on your behalf against another User. While we encourage you to let us know if you believe another User has violated the Zunuzi Terms, we reserve the right to investigate and take appropriate action at our sole discretion.
- Improper Use
You agree not to, and will not assist, encourage, or enable others to use the Zunuzi Website to:
- Violate any third-party’s rights, including any breach of confidentiality, or any infringement of copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity or any other intellectual property or proprietary right;
- Upload any content that is indecent, libelous, defamatory, obscene, profane, vulgar, threatening, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable;
- Solicit personal information from minors, or submit or transmit pornography;
- Threaten, stalk, harm, or harass others, or promote bigotry or discrimination;
- Promote a business or other commercial venture or event, or otherwise use the Zunuzi Website for commercial purposes, except as expressly permitted by Zunuzi or contemplated by these Zunuzi Terms;
- Impersonating any person or entity, including, but not limited to, Zunuzi’s representative or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
- Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not; engage in keyword spamming, or otherwise attempt to manipulate the Zunuzi Website’s search results or the search results of any third-party website; or
- Violate any applicable law.
- Additional Restrictions
You are also agreeing not to, and will not assist, encourage, or enable others to:
- Violate these Zunuzi Terms
- Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade or in any way exploit the Zunuzi Website, any Zunuzi Content or other Members’ Member Content, except as expressly authorized by us;
- Use any robot, spider, site search/ retrieval application or other automated device, process or means to access, retrieve, scrape or index any portion of the Zunuzi Website, any Zunuzi Content or other Members’ Member Content;
- Reverse engineer any portion of the Zunuzi Website;
- Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of the Zunuzi Website or on any materials printed or copied from the Zunuzi Website;
- Record, process or mine information about other Members;
- Access the Zunuzi Website by means other than through the public interfaces we provide to you;
- Reformat or frame any portion of the Zunuzi Website;
- Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our technology infrastructure or otherwise make excessive traffic demands of the Zunuzi Website;
- Attempt to gain unauthorized access to the Zunuzi Website, Zunuzi Accounts, computer systems or networks connected to the Zunuzi Platform, this includes, but is not limited to hacking, password mining;
- Use the Zunuzi Website, any Zunuzi Content or other Members’ Member Content to transmit any computer viruses, worms, defects, Trojan horses or any other computer code, files or programs designated to interrupt, destroy or limit the functionality of the Zunuzi Website;
- Use any device, software or routine that interferes with the proper working of the Zunuzi Platform or otherwise attempt to interfere with the proper working of the Zunuzi Website;
- Use the Zunuzi Website to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Zunuzi Website, any Zunuzi Content or other Members’ Member Content;
- Remove, circumvent, disable, damage, or otherwise interfere with any security-related features of the Zunuzi Website, features that prevent or restrict the use or copying of any Zunuzi Content, or other Members’ Member Content or features that enforce limitations on the use of the Zunuzi Website;
- Authorize any third party to use the Zunuzi Website, including but not limited to Tutoring Services, through your Zunuzi Account, or schedule any Tutor Services on behalf of any individuals other than yourself, except that the Company authorizes its Employee to use Zunuzi Website, and schedule the Tutor Services on behalf of its Employees;
- Schedule and/or provide for any Tutoring Service outside of the Zunuzi Website; or
- Solicit and/or recruit Zunuzi Members to work or study on other software or tutoring websites.
The uses described in these Terms are prohibited regardless of where on the Site they occur. The aforesaid restrictions only apply to the extent permissible under applicable law. Nevertheless, you agree not to act contrary to these restrictions (even if permissible under applicable law). Moreover, Zunuzi reserves the right to determine what conduct Zunuzi considers to be in violation of these Zunuzi Terms or otherwise outside the intent or spirit of the Zunuzi Website. Zunuzi reserves the right to take action as a result of any such violation, which may include terminating your Zunuzi Account and prohibiting you from using the Zunuzi Website in whole or in part.
In case you notice any violation of our Site’s Terms, please report it to our Customer Service. You can also click on the ____ “Report button” on the site to report any infringement or violations you come across. Users also agree to assist with any investigation we undertake and to take any necessary steps to correct such violations.

Such communications may be for any purpose, including purposes related to and the service provided to/by students or Tutors, as may be applicable, marketing purposes, using all methods known and discovered in the future, including, but not limited to, artificial messages, pre-recorded messages, emails, text messages, general telemarketing practices, and all other electronic communication. You agree that these communications may be regarding services that Zunuzi may market to you and that you are not obligated to receive such communications in order to purchase such services. Zunuzi will not charge you a fee for sending SMS text messages, but your service provider may. You agree to pay any fee for text messages incoming or outgoing from Zunuzi and their licenses, without reimbursement from Zunuzi or them.
You understand that, should the address provided, phone number or email, cease to be a valid means to contact you or if you cease to retain ownership of the phone number, you have an obligation to update your contact information on the Website. You agree and understand that if Zunuzi contacts you through the provided addresses but you do not receive it because your primary email or phone number is incorrect, Zunuzi will be deemed to have provided the communication to you.
(b) Electronic Signature.
You acknowledge and agree that by clicking the “I Accept”, “Submit”, “Request Tutoring” or a similar button on the website, you are indicating your intent to sign the relevant document or record and this shall constitute your signature. You hereby understand and agree that the aforesaid signature will constitute your electronic signature and will be valid and legally binding upon you.
(c) Withdrawing Consent to Communications.
If you wish to withdraw consent from promotional emails you may unsubscribe from the promotional email list via the unsubscribe options within the promotional email itself. If you wish to withdraw consent from promotional texts you can text “STOP” from your mobile device receiving the promotional messages. Zunuzi will not impose any fee for withdrawal from these promotional services. Any withdrawal of communications from Zunuzi will only be effective after a reasonable period of time to process your withdrawal.

You agree not to download or use images hosted on this Site on another website, for any purpose, including but not limited to posting such images on another Website. Title: Enforcement of Terms and Conditions
We may suspend or cancel your Zunuzi Account if we believe that you have violated or acted in a manner that is inconsistent with the letter or the spirit of these Terms, or violated our rights or those of a third-party in connection with your use of the Zunuzi Platform. Without limiting Zunuzi’s other remedies, we will suspend, cancel or terminate your Zunuzi Account, suspend your ability to use certain portions of the Zunuzi Platform, freeze or confiscate your Zunuzi Credits (as defined in the Payment Policy) and/or ban you altogether from the Zunuzi Platform, without notice or liability of any kind, if: (a) you breach any terms and conditions of these Zunuzi Terms or any other written policies and procedures posted on the Zunuzi Platform, including but not limited to Zunuzi Policies; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause legal liability for you, our Members or for Zunuzi.
Once suspended or terminated, you may be disallowed to continue to use the Zunuzi Platform under a different Zunuzi Account or re-register under a new Zunuzi Account. This includes usage of any associated Payment Services. In addition, violations of these Zunuzi Terms may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. If you engage in actions or activities which circumvent the Zunuzi Platform or otherwise reduce service fees owed or paid to Zunuzi under these Zunuzi Terms, you will be liable to Zunuzi for the full amount of the service fees due, and may be subject to additional sanctions including, but not limited to, suspension or termination of your Zunuzi Account. Zunuzi reserves the right to terminate any Members’ account or lessons provided on the Platform for any reason, at its sole discretion and to refuse to provide registration and membership to you in the future. If your membership is cancelled, you may no longer have access to data, messages, files and other material you store at the Zunuzi Platform.

You are solely responsible for all of your communications and interactions with tutors and other users of the site and services and with other persons with whom you communicate or interact as a result of your use of the site or services, including, without limitation, any interaction with tutors or users via the services or otherwise. In case of any unauthorized access to or misappropriation of your personal information or private communication by third parties, Zunuzi disclaims liability, to the fullest extent permitted by applicable law. Zunuzi makes no representations or warranties as to the conduct or qualifications of tutors or other users of the site or services or their compatibility with any current or future users or users of the site or services. You agree to take reasonable precautions in all communications and interactions with tutors and other users of the site and services and with other persons with whom you communicate or interact as a result of your use of the site or services.
Title: Limitations of liability
To the maximum extent permitted by applicable law, in no event shall Zunuzi, our Licensors, affiliates, successors, assigns, partners, employees, contractors or legal representatives be responsible or liable to you or any other member for any special, indirect, consequential, incidental or punitive damages pursuant to these Terms, including but not limited to, loss of profits, loss of business opportunities or loss of goodwill, even when advised of the possibility of such damages. Zunuzi will also not be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of services or your account or the information contained therein.
Notwithstanding any other provision of these Zunuzi Terms, in no event will our liability to you for any action or claim related to the Zunuzi Website provided under these Zunuzi Terms, whether based on contract, tort, negligence or any other theory of liability, shall exceed the great of: (a) 100 CAD (b) the aggregate amount of service charges actually collected by us from you from the services to which the liability related during the six (6) month period immediately preceding the determination of such liability.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
Title: Indemnification
You understand and agree to indemnify Zunuzi, our affiliates, contractors, our respective officers, directors, agents, subsidiaries, joint ventures, and employees against all costs, liabilities and legal fees, from any claim or demand made by any third party arising out of or relating to (a) your access to or use of the Zunuzi Website, (b) your decision to submit requests for availing lessons and accept such requests from other Member, (c) any breach of contract or other claims made by Members with which you conducted business through the Zunuzi website, (d) your violation of these Zunuzi Terms, (e) any products or services purchased or obtained by your in connection with the Zunuzi Website, (f) any liability arising from the tax treatment of payment to Tutors, (g) any negligent or intentional wrongdoing committed by you on or through the Zunuzi website, (h) any infringement by you, or any third party using your Zunuzi Account, of any intellectual property or other right of any person or entity, (i) your failure to pay or dispute of any fees owed to any Tutor or any other amounts owed to other Members; and/or (j) your failure to satisfy your obligations as a Tutor or to a Tutor.
Zunuzi reserves the right, at your expense, to assume the exclusive defence and control of any matters for which you are required to indemnify Zunuzi and you agree to cooperate with Zunuzi’s defence of these claims. You agree not to settle any such matter without the prior written consent of Zunuzi. Zunuzi will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of such claim, action or proceeding. In addition, we may apply Zunuzi Credits in your account against any liabilities you owe to us or loss suffered by us as a result of your non-performance or breach of the terms.
Title: Hold Harmless
In addition to the recognition that Zunuzi is not a party to any contract between Members and is not a broker or agent of any Member, you hereby release Zunuzi, our Affiliates, and our respective officers, directors, agents, subsidiaries, joint ventures, and employees from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with any dispute you have with another Member, whether it be at law or in equity. This release includes, for example and without limitation, any disputes regarding the quality and duration of the lessons provided to any Student by a Tutor and requests for refunds based upon such disputes.
You also acknowledge that you have read and understand Section 1542 of the California Civil Code which reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favour at the time of executing the release, that if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You hereby expressly waive and relinquish all rights and benefits under that section and any law of any jurisdiction of similar effect with respect to any claims you may have against the Releases.
Title: Suspension, termination and cancellation
- Termination by you
You may terminate these Zunuzi Terms at any time by closing your Zunuzi Account, discontinuing your use of the Zunuzi Website. You have the right to close your Zunuzi Account at any time.
- Termination by Zunuzi
We may suspend, cancel or terminate your Zunuzi Account, suspend your ability to use certain portions of the Zunuzi Website, freeze or confiscate your Zunuzi Credits (as defined in the Payment Policy) and/or ban you altogether from the Zunuzi Website for any reason or for no reason, and without notice or liability of any kind. Reasons for such suspension, cancelation or termination may include, but are not limited to, if we believe in good faith that (a) you, a related person, or your Employee (to the extent you are a Corporation & Company) has engaged in any of the restricted conduct described in the Terms under “Restriction” or otherwise violated or may have violated these Zunuzi Terms and/or any Zunuzi Policies, or (b) your Zunuzi Account and use of the Zunuzi Website have been inactive for more than twelve (12) months. To the extent that you violate these Zunuzi Terms and we revoke the licenses granted to you, you will lose all benefits and privileges associated with the Zunuzi Website. We are under no obligation to compensate you for any such losses.
Any such action could prevent you from accessing your Zunuzi Account, the Zunuzi Website, or any other related information and Zunuzi Content.
- Consequence of Termination
The Registered Members of Zunuzi must agree to pay any outstanding amounts owing to Zunuzi to the effective date of termination of this Agreement. Without limiting any other provisions of this Agreement, the termination of this Agreement for any reason will not release any parties from any obligations incurred prior to termination of this Agreement or that thereafter may accrue in respect of any act or omission prior to such termination.
Following the termination of a Tutor’s account, in case of any pending lessons, Zunuzi shall have the right to either, (a) allow you to complete such pending lessons; or (b) deduct any Zunuzi Credits in your account corresponding to such pending lessons.
We reserve the right to stop making available any one or more of the Zunuzi Website, at any time, whether on a temporary or permanent basis and without any liability, compensation, refunds or other compensatory benefits to you. Your license to the use of Zunuzi Website automatically ends when we terminate access to Zunuzi Website.
Title: Rights regarding accounts and funds
- Security and financial fraud
As a security measure, Zunuzi may impose transaction limits on some or all Students and Tutors relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We will impose these limits before any services are rendered if we determine it is necessary for security reasons or the prevention of fraud.
Zunuzi reserves the right to void Zunuzi Credit purchases if purchases are found to be fraudulent or otherwise invalid.
- Reservation of rights for erroneous transactions
Zunuzi reserves the right to seek reimbursement from any Tutor or Student, if Zunuzi, in its sole discretion, determines the erroneous or duplicate transactions have occurred. Zunuzi may obtain such reimbursement by deducting from future payments owed to such Tutor, by reversing any Zunuzi Credits to such Tutor’s Tutor Wallet, or by seeking reimbursement from such Tutor by any other lawful means.
- Prohibition of Friendly fraud
“Friendly Fraud” is when a person initiates a fraud dispute with a payment provider, claiming that their credit card (or other payment method) was not intended to be used.
This type of behaviour is illegal and prohibited by all payment providers. Zunuzi also strictly opposes Friendly Fraud, and is under no obligation to offer refunds in such cases. If Friendly Fraud is discovered, the Student’s Zunuzi Account and Student Wallet will be deactivated, purchased credits will be confiscated, and the student will be noted as a financial security risk.
In the case of honest mistakes, Zunuzi can reverse the transaction, at our sole discretion. We strongly advise Students to contact Zunuzi’s Customer Service to resolve any financial disputes.
Title: Prohibition
In addition to the section “Restrictions” of the Zunuzi Terms, you understand and agree that you are solely responsible for compliance with any applicable laws, rules, regulations, and tax obligations that may apply to you in connection with the use of the Payment Services, as stated in “Payment Policy”. You agree that you will not do the following:
- Violate any local, state, provincial, national, or other law or regulation, or any order of a court, such as money laundering and internet fraud or theft;
- Use the Payment Services for any commercial or other purposes that are not expressly permitted by this Payment Policy, as stated in “Payment Policy”;
- Use the Payment Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, personal contact information or credit, debit, account numbers, or photographs of others without their permission;
- Register any Payment Method or Withdrawal Method with your Zunuzi account that is not yours or you do not have the authorization to use;
- Attempt to probe, scan, or test the vulnerability of any Zunuzi system or network or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Zunuzi or any other third party (including another Member) to protect the Payment Services;
- Forge any TCP/IP packet Header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive or false source-identifying information;
- Attempt to decipher, decompile, disassemble or reverse engineer any of the software use to provide the Payment Services;
- Use credit cards or other payment methods fraudulently;
- Advocate, encourage, or assist any third party in doing any of the foregoing.
Zunuzi has the right to investigate and prosecute violations of any of the above to the fullest extent of the Canadian law. In addition, and as set in these Terms under “Payment Policy”, Zunuzi may take a range of actions against you, including but not limited to limiting access to your Zunuzi Account and any associated Payment Services, for a violation of this Payment Policy.
Title: Student-Tutor dispute
If a dispute arises between a Tutor and a Student, Zunuzi encourages the Tutor and Student to communicate directly and attempt to resolve the disagreement. However, if they fail to do so, they may request Zunuzi to mediate the disagreement, Zunuzi shall endeavour to evaluate and resolve the dispute on an impartial basis within 30 days of the date dispute is referred to us. In the event of a dispute, any disputed Credits may be frozen till the time the dispute is resolved.
Zunuzi shall have the right, in its sole discretion, and as a mediator:
- To transfer credits, offer a refund, or reverse a transaction.
- To designate who shall bear the Commission Fee resulting from any such actions.
In the event, the Tutor or Student does not agree with the resolution provided by Zunuzi, they may take the appropriate legal recourse as may be available under the applicable law.
Title: Tutor Policy
If you want to become a Tutor and offer Tutoring Services on the Zunuzi platform, you must fully accept the terms and policies in our Terms and Conditions, applicable on Tutors (the “Tutor Policy”). If you do not accept the Tutor Policy fully, you are not authorized to teach on the Zunuzi platform and you are not eligible to receive any benefits from Zunuzi for any Tutor Services you provide.
1.1 Tutor Registration and Service Description
In order to provide services as a Tutor, you must create an account and complete the Registration on Zunuzi.com, the Registration must include a description of your specialization and the Tutor services you are offering. Once your Tutor Account and Registration is confirmed through your email address, the Tutor status and profile will appear on your Zunuzi account. The Tutor will then be able to manage their profile account, and begin to offer and provide paid lessons to all Students on the Zunuzi website.
To the extent permitted by applicable law, and when applying to become a Tutor on the Zunuzi platform, you are agreeing to Zunuzi’s authorization to obtain your personal information, such as your full name and date of birth. Zunuzi holds no liability for information provided by the Tutor including the Tutor’s personal background. Zunuzi may not ask for background check reports, or public records, such as criminal convictions or sex offender registrations, and/or identity verification check reports on Zunuzi Platform during registration.
1.2 Tutor Services description
All Tutors must create a Tutor Profile that includes a description and outline of their teaching services on the Zunuzi Website. When creating the Tutor Profile and providing Tutoring Services on the Zunuzi Platform, you are agreeing to the following:
- To write specific and detailed Tutor Service description of your teaching scope and Lessons;
- To provide Students with relevant service quality;
- Set expectations for the students that they can meet or exceed;
- Do not offer services with the intent to commit fraud, provide services other than those outlined in your description, or offer any services only in exchange for positive feedback or at no cost;
- Do not advertise any third-party teaching service, platform, software, application; This means no promotion of personal websites/ services is allowed.
- Do not include any personal contact information, including but not limited to, personal email, telephone number, user accounts on Social Media Platforms like Facebook, WhatsApp, WeChat, Instagram, Skype, Twitter, LinkedIn and other social media sites.
2.0 Tutor Service Guidelines
- Tutor Service Request: When a Student registers and requests tutor services from a Tutor, Tutors are agreeing to the following:
- Use the Zunuzi Platform exclusively to manage all tutor services for Students;
- Tutor will not attempt external solicitation from any student, nor will Tutor accept any services requests from such Students external to the Zunuzi system. All services for a student will be done via the Zunuzi Platform only. If any Student suggests or solicits Tutor to perform services outside Zunuzi Platform, the Tutor shall immediately report this to Zunuzi.
- Respond punctually to all Tutor Service requests communications, whether from a student or from Zunuzi.
- All educational services provided by the Tutor must be fully communicated to the student, this includes the content of information, time availability, and price.
- The Tutor will provide lessons to the students using Zunuzi’s classroom which features a virtual digital whiteboard, audio, video, text chat.
- Lesson Policy: All Tutoring services that the Tutor offers should comply to the following:
- The Tutoring Services must be real and comply with the declared qualifications and quality as submitted in the Tutor’s Service description. This includes the declared characteristics under their description and in qualitative terms.
- Tutors are solely liable for their educational quality. Zunuzi does not carry any responsibility for the Tutor’s Service quality, as well as for the consequences of using any services provided on the Website.
- Cancellation and Rescheduling:
- Tutors have the right to refuse any Student before accepting a request and receiving payment (from “Escrow”) from the Student on the Zunuzi platform. On acceptance of such a request, a Lesson Contract is formed and a secured payment is kept in Escrow.
- It is only allowed to cancel sessions 24 hours prior to the scheduled time for lessons. In order to cancel, the Tutor must go to their Calendar and click on the session that they wish to cancel and follow the steps on the Zunuzi website. Once the session is cancelled, Zunuzi will notify both the Student and Tutor, updates will be made on the financial page and Calendars.
- In order to reschedule a session, the Tutor must cancel the session 24 hours prior to the session and schedule another session that best fits their schedule.
Independent Contractor:
Nothing herein contained shall be deemed to create an employment, agency, joint venture or partnership relationship between the Zunuzi and Tutors hereto. Therefore, Tutors do not have the right to request salary, illness and absence, and religious holiday leaves, this is unless previously stated in their schedule.
3.0 Academic Integrity and responsibility
Academic integrity is the foundation of educational success. Both, registered Zunuzi Students and Tutors must be fully engaged in producing new knowledge and this activity proceeds by building on the work of previous scholars; This can not take place without responsible citation and research. The Tutor is expected to:
- Ensure all their teaching materials properly acknowledge all sources (including course notes, charts, data, tables, figures, maps, PowerPoint slides, etc.).
- Remind students of your course’s purpose, value, and relevance to the field of study and the professional world beyond academia.
- Draw real-world connections between academic dishonesty and its consequences; for example, disingenuously learning essential engineering functions could lead to disastrous design flaws.
- Provide constructive feedback and not only focus on grades but on the courage to admit what one does not know and the determination of one to learn.
The Students and Tutors can submit complaints, questions and proposals to the Zunuzi Customer Service in an acceptable manner.
4.0 Rules on respect and harassment
- Tutors must display respect towards students
- If there are instances of harassment or inappropriate behaviour or comments of any sort, the student and/or tutor must inform Zunuzi, so that we may take appropriate action which may include termination of their account, under “Suspension, termination and cancellation”.
5.0 Direct Interactions
Zunzui does not take part in direct interactions between the Tutor and the Student except when Zunuzi consider it advisable:
- a) to ensure compliance with these Terms;
- b) to improve our Services; or
Zunuzi does not have control over transactions between Members except as stated in our Payment Policy. Zunuzi does not control Hourly Rate or Package Fees by Tutors, any reviews or ratings provided by Members, nor of the actions or omissions whatsoever of any Member.
Students acknowledge and agree that Tutor Services are provided for the purpose of facilitating learning, not cheating. You agree not to inquire about the hiring of or to hire Tutors to complete assignments, write papers, take quizzes or otherwise do work on your behalf. Further, you agree not to use Tutor Services for any purpose that violates the academic honesty policy or other conduct policies of your school, university, academic institution or workplace.
Zunuzi, in its sole discretion, reserves the right to abort the payment owed to Tutor if the Zunuzi.com team deems that Tutor has abused the platform or broke guidelines as indicated by these Terms, Privacy, or Code of Conduct.
Title: Copyright policy
Zunuzi has implemented procedures for receiving written notification of claimed copyright infringement and processing such claims according to the applicable law.
- Canada’s Copyright Notice:
As per the Canada’s Copyright Act (RSC , 1985, c. C-42), a copyright owner can send an infringement notice to Zunuzi for copyright infringement committed using the Zunuzi Platform.
Any such Infringement notice should consist:
- Identify the copyrighted work that you claim has been infringed, or, if multiple copyrighted works are covered by this Notice, you may provide a representative list of the copyrighted works that you claim have been infringed.
- Identify the material or link you claim is infringing (or the subject of infringing activity), including at a minimum, if applicable, the URL or the link shown on the Zunuzi Platform or the exact location where such material may be found.
- Provide the infringing poster name, profile name, account or any other identifying information, if available
- Provide your name, company affiliation (if applicable), mailing address, telephone number, and, if available, email address.
Zunuzi has the obligation under section 41.26(1) of the Copyright Act to:
(a) as soon as feasible forward the notice electronically to the person to whom the electronic location identified by the location data specified in the notice belongs and inform the claimant of its forwarding or, if applicable, of the reason why it was not possible to forward it; and
(b) retain records that will allow the identity of the person to whom the electronic location belongs to be determined, and do so for six months beginning on the day on which the notice of claimed infringement is received or, if the claimant commences proceedings relating to the claimed infringement and so notifies the person before the end of those six months, for one year after the day on which the person receives the notice of claimed infringement.

- Zunuzi Articles
In addition to the Terms under “Member Content” of the Zunuzi Terms, this Section (“Zunuzi Articles”) applies to you, if you are a Member that posts, uploads, publishes or submits any articles (an "Article") to the Zunuzi Platform.
Any such Article will be considered as Member Content. Accordingly, you own the copyright to your Article, and Zunuzi does not claim any ownership rights in any such Article. You acknowledge that plagiarism is theft of intellectual property. Plagiarism can constitute copyright infringement and you can be held accountable under the applicable law. If you make reference to any other works, which includes but are not limited to, books, news articles, publications, websites, due credit must be given to such materials through the use of proper citation and references, wherever required. Zunuzi may review each of your article before they are published on the Zunuzi Platform. If Zunuzi discovers that your article contains infringing materials, Zunuzi may reject such Article, and take appropriate action which may include removal of such Article from the platform and restricting you from posting any Article on Zunuzi Platform. Zunuzi will not be liable for any such Article and failure to take any appropriate action will not constitute waiver on Zunuzi’s part.
In addition to the license you grant to Zunuzi to use, view, copy, modify, distribute, publish and otherwise exploit your Member Content (including your Articles) pursuant to “Member Content” of the Zunuzi Terms, you hereby grant Zunuzi (i) the right to publish and republish your Articles and/or any content contained therein on the Zunuzi Platform, and to distribute your Articles and/or any content contained therein through email, downloadable file, and any other digital media; (ii) the right to archive the Article, to republish the Article and to make such Article available on the Zunuzi Platform perpetually; and (iii) the right to edit and adjust the format of any Article for the purpose of ensuring such Article is suitable for display on the Zunuzi Platform.
However, Zunuzi will give fair and due credit to you as the author of any Article you submitted, and will provide a link to the profile page of your Zunuzi Account.
Title: Payment policy
This payment policy ("Payment Policy") governs the Payment Services (as defined in the Zunuzi Terms) provided by Zunuzi to you.
- Introduction
In order to purchase any Zunuzi’s Services you must be at least 18 years old. By using the services on Zunuzi you are representing that you are at least 18 years old and are legally capable of entering into binding contracts. If you are under 18 years old, you must obtain a parental/guardian permission before purchasing any services.
Zunuzi uses an Escrow Payment System to prevent payment fraud and ensures Tutors get paid after they deliver the session. By using the Escrow system, Zunuzi helps and protects Students’ and Tutors’ credits (money) safely and securely. Students have recourse that ensures they get the Tutoring Sessions and Tutors have protection to ensure they receive payment for their efforts.
Zunuzi is not liable if Students ask Tutors if they can pay them directly (“Off-Site Payments”). Accepting off-site payments also reduces your ratings and commission rate and may also result in getting banned from the Zunuzi platform.
Prices for Tutoring Services are quoted at all times on Zunuzi and are specified by Tutor. The price of services are changeable by the Tutor, at any time, within reason of the Tutor, however, any changes made with the price of services will not affect lessons taken prior to such changes.
To pay for Tutoring Services, Students must buy Credits before connecting to the available and chosen Tutor. By purchasing any services on the Zunuzi website, you are accepting the process of applying for credits in order to contact the Tutor. Without using credits, the Student is not allowed to contact the Tutor in any way. All purchasing functionality is provided on an “AS IS” basis.
Cancellations:
- When the Tutoring session gets cancelled, Zunuzi.com will transfer 100% of the Credits from your “Escrow Balance” to your “Available Balance”. Students will then be able to use these Credits to book sessions with the same or different Tutor. Credits are non-refundable in nature and can only be utilized on the Zunuzi Platform to avail Services.
- The Student agrees that if the student does not show up to a booked Tutoring session, then the Tutor will get paid in full for the same.
- The Tutor agrees that if the Tutor does not show up to a booked Tutoring session, then the Student will get the credits refunded to their account.
1.1 Key Terms for Payment Services
Capitalised terms used but not defined in this Payment Policy have the meanings ascribed to such terms in this Terms and Conditions (the "Zunuzi Terms").
"Lesson Contract" means the contract entered between the Student and Tutor for Tutor Service.
"Zunuzi Credits" means the virtual currency purchased from Zunuzi, which can be used solely on the Zunuzi Platform to purchase Tutoring Services, and does not have any value outside of the Zunuzi Platform. All Tutoring Services on the Zunuzi Platform are paid for with Zunuzi Credits.
"Hourly rates" or "Package Fees" means the amounts that are due and payable by a Student for confirmed lessons that have been given by a Tutor. The Tutor alone, and not Zunuzi, is responsible for setting the amount of the Hourly rates or Package Fees.
"Service Fees" means the fees Zunuzi charges to the Students when using Zunuzi’s Tutoring Services.
"Student Wallet" means an account created by a Student to purchase Zunuzi Credits that will be spent on the Zunuzi Platform. Zunuzi Credits in a Student Wallet can be used to pay for Tutoring Services provided by Tutor, and other services offered by or through the Zunuzi Platform.
"Payment Method" means a method or service available on the Zunuzi Platform for a Student to purchase Zunuzi Credits, such as credit card, debit card, or PayPal.
"Tutor Wallet" means an account created by Tutors to receive payment for Tutoring Services.
"Withdrawal Method" means a method or service available on the Zunuzi Platform for a Tutor to receive cash in the exchange for Zunuzi Credits, such as PayPal, and other third party payment providers.
- Service Fees
The Student and Tutor are deemed to have entered into a contract once they have agreed on the Tutor Services, time, and price, pursuant to which the Student agrees to purchase, and the Tutor agrees to deliver, the Tutor Services (the "Lesson Contract"). You undertake not to enter into any contractual provisions that conflict with the Zunuzi Terms or other Zunuzi Policies.
Zunuzi Platform goodwill, reputation and value depend upon the good faith and fair dealing between Student and the Tutor towards the performance of their Lesson Contract. The Student and the Tutor therefore agree that Zunuzi has the right to take such actions with respect to the Lesson Contract, including without limitation suspension, termination, or legal actions, as Zunuzi in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Zunuzi Platform.
Zunuzi collects Service Fees upon the execution of the Lesson Contract.
- Financial Terms for Students
As Students, you must use Zunuzi Credits to purchase Tutoring Services from a Tutor. Zunuzi provides each Student with a Student Wallet to hold the Zunuzi Credits.
3.1 Purchasing Zunuzi credits
In order to acquire Zunuzi Credits, you may use any Payment Method, available on the website, to pay for the desired amount of Zunuzi Credits through your Zunuzi Account. By providing Zunuzi with the required information for the applicable Payment Method, you authorize us to charge for the amounts you selected on the payment page of your Zunuzi Account. Following a successful transaction, your Student Wallet will have the corresponding amount of Zunuzi Credits. You acknowledge and agree that the Zunuzi Credit you purchased will be used to pay Zunuzi or Tutor for the services on the Zunuzi Platform. If you are a Company, Zunuzi Credit acquired by you may be allocated between the Company Employees’ Zunuzi Account.
3.2 No refunds on Authorized payments
Authorized payments are final. The Students agree that no refunds will be given for Zunuzi Credits purchased.
3.3. Third party payment method fees
When purchasing Zunuzi Credits, you may be charged additional fees by the third party that provides the applicable Payment Method. These fees are not under Zunuzi’s control, and Zunuzi disclaims all liability in this regard. The terms and conditions of the respective Payment Method shall be applicable and we recommend that you review their terms before using such Payment Method.
3.4 Cancelled lesson Requests
If a Lesson Request is cancelled by the student, declined by the Tutor, or expires (not confirmed by the Tutor within the request period), the student will receive a 100% refund in the form of Zunuzi credits to the Student Wallet.
3.5 Feedback and Ratings on lessons
As a student, when you confirm a Lesson was successful, you may be asked to leave feedback and a rating for the Tutor. Leaving feedback or a rating is optional. However, if you do so, you agree that your feedback must be genuine and honest, and you will not commit fraud, spam, insult, harass, threaten, or otherwise misuse the feedback system.
You undertake to report violations or abuses of our rating and feedback system that you come across by contacting Customer Service, and agree not to take any actions that undermine the integrity of the feedback system.
- Financial Terms for Tutors
For Tutors, you must use Zunuzi Credits to receive payment for Tutor Services from Students. Zunuzi provides each Tutor with a "Tutor Wallet" to hold the Zunuzi Credits, which can be withdrawn as cash by Tutor.
4.1 Accepting Lesson Requests
Tutors will receive requests for Lessons from Students ("Lesson Requests"). By accepting a Lesson Request, you agree to provide the Lesson to the Student at the date and time as described in the applicable Lesson Request. Tutors have the option to decline any Lesson Request. Failing to respond to any Lesson Request would result in automatic expiry and decline of such requests.
4.2 Cancellations of Lesson Requests
As a Tutor, you acknowledge and agree that Zunuzi may in its sole discretion cancel a confirmed Lesson Request pursuant to Zunuzi Terms and other Zunuzi Policies. You further acknowledge and agree that Zunuzi and the relevant Student will not have any liability for such cancellations or refunds.
Zunuzi will also refund any service fees to the Student in cases where Tutors are not present or the sessions are cancelled for reasons beyond the control of the Tutor and Zunuzi.
4.3 Withdrawal of Funds
When withdrawing Zunuzi Credits, Tutor may be charged additional fees by the third party that provides the applicable Withdrawal Method. These fees are not under Zunuzi’s control, and Zunuzi disclaims all liability in this regard. The terms and conditions of the respective Withdrawal Method shall be applicable and we recommend that you review their terms before using such Withdrawal Method.
4.4 Withholding or Delaying Disbursement of Funds
If Zunuzi determines that a Tutor’s actions may have resulted or will result in a significant number of disputes, refunds or other claims from Students who purchased such Tutor’s Lessons, Zunuzi reserves the right to delay or stop the disbursement of all or part funds accrued in such Tutor Wallet. Zunuzi may provide a notice to such a Tutor in case Zunuzi takes the aforesaid action. If Zunuzi reasonably concludes that a Tutor has violated the Zunuzi Terms or other Zunuzi Policies, Zunuzi may refuse to disburse the funds accrued in such Tutor Wallet and debit such funds from the Tutor Wallet.
- Taxes
Tutors shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Tutor Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. Zunuzi cannot and does not offer tax-related advice to any Members. However, Zunuzi may deduct or withhold any applicable tax as may be required by any applicable law.
- Zunuzi Credits Policies
6.1 Zunuzi credits are not Bank deposits
You acknowledge that: (1) Zunuzi is not a bank, and Student Wallets and Tutor Wallets are a payment service rather than a banking service; and (2) Zunuzi is not acting as a trustee or fiduciary with respect to your funds, but is acting only as an agent and custodian. (3) Zunuzi IS NOT A BANK, AND AMOUNTS TRANSFERRED THROUGH OR STORED IN STUDENT WALLETS OR TUTOR WALLETS ARE NOT INSURED DEPOSITS (4) Zunuzi shall not be liable to pay any interests on the Zunuzi Credits.
6.2 Zunuzi credits expiration policy
Zunuzi Credits in a Zunuzi Student or Tutor Account will be valid for so long as the Member remains active on Zunuzi. Once the member terminates, account credits will also be terminated unless withdrawn prior to termination.
6.3 Foreign Exchange risk
Zunuzi Credits are tied to Canadian Dollars. Zunuzi is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than Canadian Dollars, nor is Zunuzi responsible for currency fluctuations that occur when receiving or sending payment via third party payment services when purchasing Zunuzi Credits or withdrawing Zunuzi Credit balance.
6.4 Zunuzi credits limitations
Zunuzi Credits are valid only when purchased on the Zunuzi Platform or through authorised Zunuzi partners. Zunuzi Credits redeemed from gift cards or vouchers purchased through unofficial sources or channels are subject to cancellation without notice.
- Commission Fees
Zunuzi collects Commission Fee upon successful completion of Tutor Lessons. For each successfully completed Lesson, Zunuzi collects ___ % of total price of such Lesson (“Commission Fee”). The Commission Fee will be deducted upon transfer of Zunuzi Credits to the Tutor’s wallet.
To the extent any refunds are issued to a Student, no Commission Fees will be charged to the Tutor with respect to Zunuzi Credits that are refunded back to the Student.
Title: Entire agreement; Severability and Waiver
These Terms and Conditions concern the subject matter of policies that constitute the entire and exclusive understanding and agreement under these Terms and Conditions. Our failure to exercise or enforce any right or provision of these Terms and Conditions will not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms and Conditions remain in full force and effect. All Sections and any other provisions of these Terms and Conditions which would be expected to survive the termination or expiration of your relationship with us will also survive. You agree that this electronic agreement shall be equivalent to a written paper agreement between you and Zunuzi and all of our affiliates and licensors.
Title: Assignment
These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties. You may not assign, transfer, or delegate these Terms and your rights and obligations hereunder without Zunuzi’s prior written consent. Zunuzi may assign, transfer, delegate and/or sublicense our rights and obligations under the Terms, in whole or in part, in its sole discretion, without restriction. Subject to the foregoing, the Terms will bind and inure to the benefit of the parties, their successors and assigns. Your right to terminate these Terms by immediately discontinuing your use of and access to the Zunuzi Services and the Zunuzi Platform at any time remains unaffected.
Title: Notices
Unless you otherwise indicate in writing to customer service in accordance with the Terms under “Customer Service”, Zunuzi will communicate with you by email. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirements that such communications be in writing. You will be considered to have received a communication when Zunuzi sends the communication to the email address you have provided to Zunuzi on Zunuzi.com. You must always keep your email address updated on the Zunuzi website. If you fail to respond to an email message from Zunuzi or our affiliates regarding violation, dispute or complaint within two business days, Zunuzi will have the right to terminate or suspend your Zunuzi Account, or take any other action as Zunuzi deems fit in its sole discretion.
If you wish to opt-out of promotional emails you receive pursuant to your provision of express written consent to the Zunuzi or any other third-party, you may unsubscribe from their promotional email list by following the unsubscribe options in such promotional email itself.
Title: Governing Law and Dispute Resolution
- a) For residents in Canada.
Any claims arising out of the Zunuzi platform or the Zunuzi Terms and Conditions will be subject to the laws of the province of British Columbia, without reference to conflict of laws principles.
- b) For residents outside of Canada.
Any claims arising out of the Zunuzi platform or the Zunuzi Terms and Conditions will be subject to the laws of the province British Columbia, Canada, without reference to conflict of laws and principles.
- c) Dispute resolution between User and Zunuzi
Except as otherwise set forth in the agreement, the validity and effect of the agreement shall be governed by and construed and enforced in accordance with the laws of the province of British Columbia, Canada, without reference to conflict of laws and principles. Any use of this website in contravention of these terms and conditions of use or applicable laws is at your own risk and if any part of these terms and conditions of use is invalid or unenforceable pursuant to applicable laws, the invalid or unenforceable provision will be deemed to be severed from these terms and conditions of use without affecting the remainder hereof or superseded by a valid and enforceable provision that most closely matches the intent of the original provision.
Any dispute, claim or controversy between you and Zunuzi, or otherwise arising out of or relating to these terms and conditions of use will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and Zunuzi are waiving the right to trial by jury or to participate as a class member in any perpetrated class action proceeding. Any arbitration contemplated by this section will be administered by the National Arbitration Rules of the ADR Institute of Canada and the place of such arbitration shall be Vancouver, British Columbia, Canada.
For judicial proceedings that are excluded from the Arbitration Agreement, each User consents to the exclusive jurisdiction of any federal or state court situated in Vancouver, British Columbia, Canada and having appropriate jurisdiction, as Zunuzi selects in its sole discretion.
Title: Modification
Zunuzi reserves the right, at its sole discretion, to modify the Zunuzi Website and to modify these Terms and Conditions, at any time with or without prior notice to the Users of the Website. These updates and modifications may result in changes in the appearance and/or functionality of Tutoring Services, including but not limited to additional or removal of functionality, features, or content. Once modifications have been made, we will either post the modifications on the Sites and the applications or otherwise provide you with notice. We will also update the “Last Updated” date at the top of the Zunuzi Terms.
In case of any material change to the Website’s Terms, Zunuzi will notify you of the same with a 30 days prior notice to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access and use Zunuzi you agree to be bound by the modified Zunuzi Terms, if you do not accept the updated Terms, you can choose to discontinue the use of Website.
